EuniPay Terms of Service
These Terms of Service govern access to and use of EuniPay, a business payment, tax, and receipt infrastructure service provided by EuniTech AB ("EuniTech", "we", "our", or "us").
Business Use and Authority
EuniPay is intended for business and professional use. A person creating an account or using EuniPay for an organisation confirms that they have authority to bind that organisation to these Terms. That organisation is referred to as the "Merchant".
Service
EuniPay provides server-side tools supporting EU VAT calculations, currency and payment context, tax and location evidence, managed Checkout, Transaction records, and structured Receipts. EuniPay creates payment sessions through supported payment-platform integrations, verifies relevant platform events using the Merchant's saved configuration, and can send signed payment-result callbacks to the Merchant. Supported countries, currencies, tax treatments, payment platforms, data fields, integrations, and technical limits are described in the current documentation.
The Merchant remains the seller and contracting party to every buyer. EuniPay does not become a party to the Merchant's sale and does not supply the Merchant's products or services.
Accounts and Security
The Merchant must provide accurate account and seller information, restrict access to authorised users, protect dashboard credentials and server API keys, and promptly notify EuniTech of suspected compromise. The Merchant is responsible for activity performed through its accounts, keys, environments, and connected services.
Merchant Responsibilities
The Merchant owns and controls its payment-platform accounts and remains the seller responsible for its catalog, prices, discounts, buyer relationship, fulfilment, support, disputes, and refunds. The Merchant is responsible for:
- the accuracy and lawful collection of seller, buyer, VAT, address, IP, price, currency, payment, and Transaction data submitted to EuniPay;
- providing and maintaining accurate payment-platform credentials, Webhook configuration, enabled payment methods, and merchant callback configuration;
- using EuniPay's verified managed-Checkout result as the payment result for the managed flow, and independently verifying payment evidence before using any retained direct-confirmation flow;
- reviewing tax decisions, evidence, Transactions, and Receipts for accuracy; and
- completing applicable registration, filing, remittance, bookkeeping, invoicing, fulfilment, refund, and buyer-facing obligations.
The Merchant must keep server API keys out of browser code and follow documented environment-isolation, idempotency, Quote-lifetime, and Buyer Profile requirements.
Fees and Taxes
Fees, usage charges, payment terms, and applicable taxes are those shown in EuniPay, an order, or a separate written agreement. The Merchant must pay undisputed amounts when due and is responsible for taxes that apply to its purchase, excluding taxes on EuniTech's income. EuniTech may correct evident billing errors.
Third-Party Services
EuniPay may rely on payment-platform integrations, hosting, object storage, VIES, GeoIP data, and other third-party services needed for requested functions. Those services may have separate terms, limitations, and availability. The Merchant owns and controls its payment-platform relationship, account, configuration, and funds. EuniPay may create sessions and verify supported events through that account, but the Merchant remains responsible for the commercial transaction and all unsupported or independently confirmed payment activity. Third-party data may be delayed, incomplete, unavailable, or later corrected.
Tax and Receipt Limitations
EuniPay is tax and receipt infrastructure with managed payment-platform integration. It is not a payment processor, payment gateway, merchant of record, independent payment verifier, VAT or OSS filing agent, accounting service, or provider of legal or tax advice.
Tax output depends on supported scope, configured reference data, Merchant settings, connected-platform data, and submitted evidence. A Receipt records information supplied, verified, and calculated for a successful Transaction; it is not proof that the sale was fulfilled or that filing and remittance duties were satisfied. The Merchant must assess its circumstances and obtain qualified advice where appropriate.
Data and Confidentiality
The Merchant retains its rights in submitted data and grants EuniTech the limited rights needed to host, process, secure, reproduce, and format it to provide EuniPay. Each party must process personal data lawfully and provide required notices for its role. The Privacy Policy describes the processing that generally applies.
Each party may receive non-public information that the other identifies as confidential or that should reasonably be understood as confidential. The receiving party will use it only to perform or receive EuniPay and protect it with reasonable care. This obligation does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received from another source. Required disclosures may be made where legally necessary.
Acceptable Use
The Merchant must not use EuniPay to violate law or third-party rights; misrepresent a payment or tax fact; expose credentials; gain unauthorised access; evade technical controls; disrupt the Service; distribute malware; automate abusive traffic; or access another Merchant's data.
Intellectual Property
EuniTech and its licensors retain all rights in EuniPay, including its software, documentation, design, trademarks, and service materials. The Merchant receives a limited, non-exclusive, non-transferable right to use EuniPay for its internal business integration during the applicable term. Feedback may be used without restriction or obligation.
Availability and Changes
EuniTech may maintain, update, improve, limit, suspend, or discontinue features. No service-level commitment applies unless agreed in writing. EuniTech will use reasonable efforts to avoid material disruption and, where practical, communicate material changes.
Suspension and Termination
The Merchant may stop using EuniPay at any time, subject to outstanding payment and legal obligations. EuniTech may suspend or terminate access for material breach, non-payment, security risk, prohibited use, third-party restrictions, or legal requirements. Where reasonable, EuniTech will provide notice and an opportunity to cure. Provisions that by nature should survive termination will continue to apply.
Disclaimers
To the maximum extent permitted by law, EuniPay is provided "as is" and "as available". EuniTech disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of tax or third-party data, and uninterrupted availability. EuniPay output is a tool for the Merchant's review and is not a warranty of payment, tax treatment, filing status, or legal compliance.
Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, goodwill, business opportunity, or data. EuniTech's aggregate liability arising from EuniPay will not exceed the fees paid for EuniPay during the twelve months preceding the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.
Governing Law
These Terms are governed by Swedish law, without regard to conflict-of-law rules. The competent courts of Sweden have exclusive jurisdiction, subject to mandatory law.
Changes and Order of Precedence
EuniTech may update these Terms by publishing a revised content version and date. Material changes will apply prospectively after reasonable notice where required. An order form or signed enterprise agreement controls over these public Terms only where it expressly states that it does.
